Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Clearbase Software ("Clearbase," "we," "our," or "us") and govern your access to and use of our websites, applications, and services, including Whispr and Clearbase Vault (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract. By using the Services you represent that you meet these requirements and that the information you provide is accurate.

2. The Services

Clearbase provides privacy-first software. Whispr is an AI assistant that provides real-time information during interviews and meetings. Clearbase Vault is a local password manager. The Services may include features that are in development, beta, or preview form, which may change or be discontinued. AI-generated output may be inaccurate or incomplete and is provided for your assistance only. You are responsible for reviewing it and deciding how to use it.

3. Accounts

You are responsible for the information and activity associated with your account and for keeping your credentials secure. Accounts are for a single person. Do not share your account or let others use it. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk.

You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws and rules. You will not:

5. Responsible and lawful use of Whispr

Whispr is designed for interview preparation and for meetings you are a party to. Many environments have their own rules. Some interviews, examinations, certifications, employers, schools, and platforms expressly prohibit outside assistance or recording. You are solely responsible for knowing and following the rules, policies, and laws that apply wherever and however you use the Services, including any obligation to obtain consent before recording or transcribing a conversation. Clearbase does not endorse or encourage using the Services to violate any such rule, and you assume all responsibility and risk for your use.

6. Subscriptions, billing, and payments

Some features require a paid subscription or purchase. Pricing and plan details are presented at the point of purchase and are incorporated into these Terms. Payments are processed by our payment provider, which may act as merchant of record. By purchasing, you authorize us and our provider to charge your payment method for the applicable fees and any taxes. Subscriptions renew automatically for the same term at the then-current price unless you cancel before the renewal date. You can cancel at any time and will keep access through the end of your paid period. We may change prices and plans prospectively, with notice for active subscriptions. Except where required by law, charges are final after the 7-day refund window for first-time subscribers has passed; cancellation stops future renewals but does not refund a charge already made outside that window, as described in our Cancellation and Refund Policy.

7. Free tiers and trials

We may offer free tiers or trials with usage limits. We may modify or discontinue free offerings, and we may apply measures to prevent abuse of free access.

8. Intellectual property

The Services, including their software, design, text, and logos, are owned by Clearbase or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms. Content and inputs you provide remain yours, and you grant us a limited license to process them only as needed to provide the Services. If you send us feedback or suggestions, you grant us a non-exclusive, perpetual, royalty-free license to use them without obligation to you.

9. Third-party services

The Services interoperate with third-party products, such as AI model providers and meeting platforms. We are not responsible for third-party services, and your use of them is governed by their own terms and policies.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms.

11. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, that AI output will be accurate or suitable, or that defects will be corrected. To the maximum extent permitted by law, you use the Services at your own risk.

12. Limitation of liability

To the maximum extent permitted by law, Clearbase and its owners and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Services. To the maximum extent permitted by law, our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us for the Services in the twelve months before the claim or fifty U.S. dollars.

13. Indemnification

You agree to indemnify and hold harmless Clearbase and its owners from any claims, losses, liabilities, and expenses, including reasonable legal fees, arising out of your use of the Services, your content, or your violation of these Terms or of any law or third-party right.

14. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Services or other users. Upon termination, your right to use the Services ends. Provisions that by their nature should survive, such as intellectual property, disclaimers, limitation of liability, and indemnification, will survive.

15. Changes to the Services and Terms

We may modify the Services and these Terms from time to time. If we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use after changes take effect constitutes acceptance.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-law rules. Before filing a claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, and you consent to personal jurisdiction there, except where applicable law gives you the right to bring proceedings in your local courts. Nothing in these Terms limits any non-waivable statutory consumer rights you may have.

17. General

These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and Clearbase regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, and we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
